THE FUND
WS Capital Series Fund, LLC ("Fund" or "Company") is a Delaware Series Limited Liability Company that allocates its assets through a number of individual series (each a "Series"), each of which operates independently of the others as a segregated portfolio of assets. The Company is an investment fund that does not provide investors with redemption rights in the ordinary course and that engages primarily in making asset-backed commercial loans. Investors may allocate investment in the Fund to a single Series or multiple Series, subject to certain minimum investment requirements that may or may not be waived, at the sole discretion of WS Capital Fund Management, LLC.
A designated series of the Fund is an Asset Backed Lending Investment Company ("ABL Fund"). Asset-backed lending is the business of loaning money that is secured by collateral. An asset-backed loan or line of credit may be secured by real estate, inventory, accounts receivable, equipment, or other property owned by the borrower. The asset-backed lending industry serves businesses, not consumers. WS Capital Series Fund, LLC originates loans to business units in the trading, manufacturing, distribution, technology, and services sectors. Loans for all business purposes include working capital, purchasing of fixed assets, commercial real estate acquisitions, capacity expansion, modernization, technology improvements, research and development, business acquisitions, debt refinancing, and special situations. In addition, the Company Manager may establish additional underlying series for investments unrelated to asset-backed loans or real estate investments, including investments in securities, such as stocks, warrants, rights, and options of U.S. and non-U.S. entities.
THE SERIES LIMITED LIABILITY COMPANY
The Delaware Series Limited Liability Company ("LLC") insulates members of an individual Series from liability, including cross liability with other Series except as otherwise provided for in the Master and Separate Series Operating Agreements, debts, obligations, and liabilities of a Series whether arising in contract, torts, or otherwise, shall be solely the debts, obligations, and liabilities of such Series. Each Commercial Asset-Backed loan or investment in real estate properties will be made through an underlying Series of the Fund. In addition, the Company Manager may establish a separate underlying series for investments in securities, including but not limited to equity investments.
COMPANY MANAGER
WS Capital Fund Management, LLC, a Florida Limited Liability Company (the "Company Manager"), is the sole Manager of the Company and is responsible for implementing the general investment objectives of the Company, administration of Company affairs, coordination of financial activities, including preparation of tax returns, financial statements, and, to the extent deemed advisable or appropriate by the Company Manager, special financial reports and statements to Series Members.
